Terms of Service

Effective date: June 27, 2026

These Terms of Service (“Terms”) govern access to and use of BidBox (the “Service”), provided by Viable Link Inc., a company incorporated in Ontario, Canada (“BidBox”, “we”, “us”, or “our”). By creating an account, signing an order form, or otherwise accessing the Service, you and the business entity you represent (“Customer”, “you”) agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Business-to-business service

BidBox is offered solely for business and commercial use by infrastructure, municipal consulting, engineering, and related professional services firms. It is not intended for personal, household, or consumer use. By using the Service you represent that you are doing so on behalf of a business entity and that you are authorized to bind that entity to these Terms.

2. The service

BidBox helps Customer monitor public tender and RFP postings, score fit and compliance against Customer-supplied criteria, and generate draft proposal content from documents Customer uploads to its private vault (collectively, “Customer Data”). BidBox is a drafting and decision-support tool only. Customer remains solely responsible for reviewing, verifying, and approving any submission before it is sent to a procuring authority or any third party.

3. Accounts and registration

You must provide accurate registration information and keep it current. You are responsible for safeguarding login credentials and for all activity under your firm’s account, including activity by team members you invite. Notify us promptly at hello@bidbox.ca of any unauthorized use.

4. Subscriptions, free trials, and fees

Paid plans are billed in advance on a monthly or annual subscription basis as described on the order form or in-product checkout, in Canadian or U.S. dollars as quoted. Free trials, where offered, convert to a paid subscription only if Customer affirmatively chooses a paid plan; no credit card is required to start a trial. Fees are exclusive of applicable taxes (including GST/HST), which will be added where required by law. Except as required by law or expressly stated in an order form, fees are non-refundable.

5. Customer data and the vault

Customer Data uploaded to BidBox (past proposals, methodology documents, team CVs, project summaries, and similar materials) remains the property of Customer. Customer grants BidBox a limited license to host, process, and use Customer Data solely to provide and improve the Service for that Customer’s account. BidBox does not use Customer Data to train shared or publicly available models, and does not sell Customer Data. See our Privacy Policy for how personal information is handled.

6. Acceptable use

You agree not to:

  • Upload content you do not have the right to use or share;
  • Use the Service to build a competing product or to reverse engineer it;
  • Attempt to bypass usage limits, security controls, or access controls;
  • Use the Service to submit knowingly false or misleading statements in a tender response; or
  • Use the Service in a manner that violates applicable Canadian or provincial law.

7. Intellectual property

BidBox and its licensors own all right, title, and interest in the Service, including underlying software, models, and documentation. These Terms grant Customer a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term, for Customer’s internal business purposes only.

8. Confidentiality

Each party will protect the other’s non-public information disclosed in connection with the Service using at least the same degree of care it uses for its own confidential information, and will use it only to perform under these Terms.

9. Disclaimers

The Service is provided “as is.” Tender postings, scoring, and drafted content are generated to assist Customer’s team and may contain errors or omissions. BidBox does not guarantee that any bid will be successful, accepted, or compliant with a procuring authority’s requirements, and disclaims all warranties not expressly stated in these Terms, to the fullest extent permitted by applicable Canadian law.

10. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business opportunities, arising out of or related to these Terms or the Service. Each party’s total aggregate liability arising out of or related to these Terms will not exceed the fees paid by Customer to BidBox in the twelve (12) months preceding the event giving rise to the claim. Nothing in this section limits liability that cannot be limited under applicable law.

11. Term and termination

These Terms apply for as long as Customer maintains an account or active subscription. Either party may terminate for the other party’s uncured material breach on thirty (30) days’ written notice, or immediately if required to comply with law. Customer may export Customer Data for a reasonable period following termination by contacting hello@bidbox.ca.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute not resolved through good-faith negotiation.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least fifteen (15) days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
